Terms of Service
These Terms of Service govern your access to and use of Asenta, the human-in-the-loop approval, audit, and learning layer for AI pipelines. Please read them carefully.

1. Agreement to these Terms
These Terms of Service (the “Terms”) form a binding agreement between you and Asenta (“Asenta”, “we”, “us”) governing your access to and use of the Asenta website, dashboard, APIs, and related services (together, the “Service”).
By creating an account, accessing, or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization. If you do not agree, do not use the Service.
2. The Service
Asenta sits between an AI pipeline and the real-world action its output triggers. You submit AI-generated output to the Service; the Service applies your configured oversight rules, routes items for human review where required, records decisions and edits to an audit trail, and delivers a signed webhook so your systems can carry out the resulting action.
- Asenta does not generate content and does not perform your actions. The Service does not call any language model on your behalf and does not send emails, complete transactions, or take any downstream action for you. It captures decisions and notifies your systems; acting on an approved item is your responsibility.
- Human review is a control you configure. You are responsible for staffing review, for the correctness of your oversight rules, and for the ultimate decision to act on any output — whether that output was human-approved or auto-fired by your rules.
3. Accounts, organizations, and roles
You must provide accurate account information and keep it current. You are responsible for safeguarding your login credentials and for all activity under your account. You must be at least the age of majority in your jurisdiction to use the Service.
The Service is organized around organizations (“orgs”) with role-based access (for example, admin, reviewer, and viewer). Org administrators are responsible for managing membership and for the conduct of members they invite. You are responsible for ensuring that anyone you invite is authorized to view the content in your org.
4. Acceptable use
You agree not to, and not to permit anyone to:
- use the Service in violation of any applicable law or third-party right;
- submit content you are not authorized to process, or content whose review by your configured reviewers would violate any confidentiality, privacy, or data-protection obligation;
- attempt to probe, scan, disrupt, or circumvent the security or integrity of the Service, or access it other than through the documented interfaces;
- reverse engineer, resell, or use the Service to build a competing product, except to the extent this restriction is prohibited by law;
- transmit malware, or use the Service to store or transmit content that is unlawful, infringing, or harmful.
We may suspend access to protect the Service or other customers where we reasonably believe these Terms have been violated.
5. Your content
“Customer Content” means the AI output, metadata, edits, reviewer decisions, uploaded assets, and other data you or your reviewers submit to or generate within the Service. As between you and Asenta, you retain all rights in your Customer Content.
You grant Asenta a limited, worldwide license to host, process, transmit, and display Customer Content solely to provide and maintain the Service for you (including storing the audit trail, delivering webhooks, and serving the learning-loop feedback you request). You are responsible for the legality of your Customer Content and for having the rights and consents necessary to submit it for review.
6. API keys and security
API keys authenticate requests to the Service and are shown only once at creation; Asenta stores only a hash. You are responsible for keeping keys and webhook signing secrets confidential and for rotating them if they are exposed. All activity performed with your keys is attributed to your org. We recommend verifying the signature on every webhook before acting on it.
7. Plans, fees, and quotas
Access to the Service may be offered under free and paid plans. Each plan may include a monthly quota of submitted items; requests beyond your effective limit may be rejected (HTTP 429) until the next period or until you upgrade. Paid fees, billing cycles, and quota limits are described at the time of purchase or in your plan settings.
Except as required by law or expressly stated, fees are non-refundable. We may change plan pricing or quotas prospectively; where a change is material we will provide reasonable notice, and continued use after the change takes effect constitutes acceptance.
8. Third-party services and subprocessors
Asenta relies on the following subprocessors to provide the Service. Each processes Customer Content only as needed to perform its function:
- Supabase — managed database, authentication, and file/object storage for accounts, queue items, audit records, and uploaded assets.
- Vercel — application hosting, serverless compute, and content delivery for the dashboard and APIs.
- Resend — delivery of transactional and notification email (for example, review notifications and account emails).
We may add or replace subprocessors as the Service evolves; where required, we will update this list. Your use of the Service is also subject to these providers’ own terms where applicable.
9. Intellectual property
The Service, including its software, design, and documentation, is owned by Asenta and its licensors and is protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Service for your internal business purposes. We reserve all rights not expressly granted. If you provide feedback about the Service, we may use it without restriction or obligation.
10. Confidentiality
Each party may receive information of the other that is marked or reasonably understood to be confidential. The receiving party will use such information only to perform under these Terms and will protect it with reasonable care. This section does not apply to information that is or becomes public through no fault of the receiving party, is independently developed, or must be disclosed by law.
11. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Asenta is a workflow and control layer. It does not guarantee that human review will catch any particular error, that any output is accurate, lawful, or appropriate, or that webhook delivery will be timely or successful. You remain solely responsible for decisions made and actions taken on the basis of content processed through the Service.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASENTA’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO ASENTA FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS (USD 100).
13. Indemnification
You will defend, indemnify, and hold harmless Asenta from and against any third-party claims, damages, and reasonable expenses arising out of your Customer Content, your use of the Service, or your violation of these Terms or applicable law, except to the extent caused by Asenta’s own breach of these Terms.
14. Term and termination
These Terms apply for as long as you use the Service. You may stop using the Service and close your account at any time. We may suspend or terminate access if you materially breach these Terms, or as necessary to comply with law or protect the Service.
On termination, your right to use the Service ends. We will make Customer Content available for a reasonable period on request and will delete it thereafter in accordance with our data-retention practices, except where retention is required by law. Sections that by their nature should survive (including ownership, disclaimers, limitation of liability, and indemnification) will survive termination.
15. Changes to the Service and these Terms
We may modify the Service and these Terms from time to time. When we make material changes to these Terms, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after a change takes effect constitutes acceptance of the revised Terms.
16. Governing law and disputes
These Terms are governed by the laws of the jurisdiction in which Asenta operates, without regard to conflict-of-laws rules, and the parties submit to the exclusive jurisdiction of the courts located there. [Governing-law jurisdiction and venue to be finalized in legal review.]
